The Governing Board is AFROSAI’s executive body; it ensures the effective implementation of the General Assembly’s priorities. In this capacity, it plays a central role in follow-up, coordination and strategic leadership between two ordinary sessions of the General Assembly. It sees to the implementation of adopted resolutions and recommendations, to the compliance of the Statutes and approves the annual action plans of the Executive Directorate and specialized bodies. Governance-wise, it has the power to appoint an Executive Director, designate external auditors, authorize partnerships and recommend the admission of new members.
Accountability-wise, the Governing Board reviews performance reports, approves financial statements and sets the annual contributions of member institutions. Its composition ensures a balanced representation of the various regional components, including the Chair, Vice-Chairs, the Secretary-General and representatives of the Sub-Regional Organizations (SROs). The Governing Board convenes at least once a year and may hold extraordinary or virtual sessions, provided that decisions are valid when at least two-thirds of its members are present. Decisions are taken by simple majority, unless specific provisions require a qualified majority.
